Terms of Use
1. General: This web site ("TaylorCNET.org") is owned and operated by TaylorCNET and is provided to you ("you" or "user"), subject to the terms of this TaylorCNET agreement ("Agreement"), and the rules that may be published from time to time by TaylorCNET. TaylorCNET.org is an online service provided to users who agree to abide by the terms and conditions of this Agreement. TaylorCNET reserves the right to change the nature of this relationship at any time or discontinue any aspect or feature of the site, including, without limitation, the content, hours of availability, and equipment needed for access or use of the site. Users who violate the terms of this Agreement will have their TaylorCNET.org account ("Account") canceled and they may be permanently banned from using TaylorCNET.org. ENTERING THE TAYLORCNET.ORG WEB SITE WILL CONSTITUTE ACCEPTANCE OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO ABIDE BY THESE TERMS, PLEASE DO NOT ENTER TAYLORCNET.ORG.
2. Rules: You are entirely responsible and liable for all activities conducted through your Account. Listed below we have included, but are not limited to, examples of violations that may result in TaylorCNET terminating your Account.
3. Restrictions on use: You agree to use this site for lawful purposes only and to not do any of the following actions while using TaylorCNET.org; harass, threaten, stalk, embarrass or cause distress or discomfort upon another TaylorCNET participant, user, or other individual or entity; transmit via TaylorCNET any information, data, text, files, links, software, communication or other materials ("Content") that TaylorCNET considers to be unlawful, harmful, threatening, abusive, harassing, stalking, defamatory, illegally obscene, vulgar, profane, hateful, racially, ethnically or otherwise objectionable; impersonate in TalorCNET.org any person, including, but not limited to, a TaylorCNET official, forum leader, guide or host; disrupt the normal flow of dialogue or otherwise act in a manner that negatively affects other participants; intentionally or unintentionally violate any applicable local, state, national or international law, including, but not limited to, any regulations having the force of law while using or accessing TaylorCNET.org or in connection with your use of TaylorCNET.org in any manner; post or transmit any unsolicited advertising, promotional materials, or any other forms of solicitation in TaylorCNET.org; violate or infringe in any way upon the rights of others; invade privacy or publicity rights; infringe upon copyright or trademark rights; encourage conduct that would constitute a criminal offense; give rise to civil liability or otherwise violate any law.
4. Equipment. You shall be responsible for obtaining and maintaining all telephone, computer hardware and other equipment needed for access to and use of the site and all charges related thereto.
5. Competitors: Whether placed free of charge or at cost, you shall not post or transmit through this site any material which contains advertising for, or solicitation of, users to become subscribers of some other on line information service which is competitive with this site. No postings shall be displayed on this site (free or otherwise) by competitors of TaylorCNET or its owner, TaylorCNET Organization without prior written permission of the management of TaylorCNET Organization.
6. Intellectual Property: The site contains copyrighted material, trademarks and other proprietary information, including, without limitation; text, software, photos, video, graphics, music and sound, and the contents of the site are copyrighted under the United States copyright laws. You may not modify, publish, transmit, display, participate in the transfer or sale, create derivative works, or in any way exploit, any of the content, in whole or in part. You may download one copy of any copyrighted material for your personal, non-commercial home use only. Except as otherwise expressly permitted under copyright law, no copying, redistribution, retransmission, publication or commercial exploitation of downloaded material will be permitted without the express written permission of TaylorCNET and the copyright owner. In the event of any permitted copying, redistribution or publication of copyrighted material, no changes in or deletion of author attribution, trademark legend or copyright notice shall be made. You acknowledge that you do not acquire any ownership rights by downloading copyrighted material.
You shall not upload, post or otherwise make available on the site any material protected by copyright, trademark or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right and the burden of determining that any material is not protected by copyright rests with you. You shall be solely liable for any damage resulting from any infringement of copyrights, proprietary rights, or any other harm resulting from such a submission. By submitting material to any public area of the site, you automatically grant, or warrant that the owner of such material has expressly granted TaylorCNET the royalty-free, worldwide, perpetual, irrevocable, non-exclusive right and license to use, reproduce, modify, adapt, publish, display, translate and distribute such material (in whole or in part) and/or to incorporate it in other works in any form media or technology now known or hereafter developed. You also permit any other user of the site to access, view, store or reproduce the material for that user's personal use. You grant TaylorCNET the right to edit, copy, display, publish and distribute any material made available on the site by you.
Reporting copyright infringement: TaylorCNET respects the intellectual property of others, and we ask our users to do the same. If you believe that your work has been copied in a way that constitutes copyright infringement, please email your claim to; Support@TaylorCNET.org, with a description of the content and the place it is located within the TalyorCNET.org web site, along with your full name, address and phone number.
7. Disclaimer of Warranty - Limitation of Liability: YOU EXPRESSLY AGREE THAT USE OF THE SITE IS AT YOUR SOLE RISK. NEITHER TaylorCNET, ITS AFFILIATED PARTNERS NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD PARTY CONTENT PROVIDERS OR LICENSORS WARRANT THAT THE SITE WILL BE UNINTERRUPTED OR ERROR FREE, NOR DO THEY MAKE ANY WARRANTY AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SITE, OR AS TO THE ACCURACY OR RELIABILITY OF ANY INFORMATION, SERVICE OR MERCHANDISE PROVIDED THROUGH THE SITE.
THE SITE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF TITLE OR IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER APPLICABLE LAW. ADDITIONALLY, THERE ARE NO WARRANTIES AS TO THE RESULTS OBTAINED FROM THE USE OF THE SITE.
THIS DISCLAIMER OF LIABILITY APPLIES TO ANY DAMAGES OR INJURY CAUSED BY ANY FAILURE OF PERFORMANCE, ERROR, OMISSION, INACCURACY, INTERRUPTION, DELETION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, COMPUTER VIRUS, COMMUNICATION LINE FAILURE, THEFT OR DESTRUCTION OR UNAUTHORIZED ACCESS TO, ALTERATION OF, OR USE OF THIS SITE, WHETHER FOR BREACH OF CONTRACT, TORTIOUS BEHAVIOR (INCLUDING STRICT LIABILITY), NEGLIGENCE, OR UNDER ANY OTHER CAUSE OF ACTION. YOU SPECIFICALLY ACKNOWLEDGE THAT TaylorCNET IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY FROM THE FOREGOING RESTS ENTIRELY WITH YOU.
IN NO EVENT WILL TaylorCNET, OR ANY PERSON OR ENTITY INVOLVED IN CREATING, PRODUCING OR DISTRIBUTING THE SITE OR THE CONTENT INCLUDED THEREIN, BE LIABLE IN CONTRACT, IN TORT (INCLUDING FOR ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING STRICT LIABILITY) FOR ANY DAMAGES, INCLUDING, WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL OR SIMILAR DAMAGES, INCLUDING, WITHOUT LIMITATION, LOST PROFITS OR REVENUES, LOSS OF USE OR SIMILAR ECONOMIC LOSS, ARISING OUT OF THE USE OF OR INABILITY TO USE THE SITE. YOU HEREBY ACKNOWLEDGE THAT THE PROVISIONS OF THIS SECTION SHALL APPLY TO ALL USE OF AND CONTENT ON THE SITE. APPLICABLE LAW MAY NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY OR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. IN NO EVENT SHALL TaylorCNET'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES AND CAUSES OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING ITS OWN NEGLIGENCE) OR UNDER ANY OTHER LEGAL THEORY (INCLUDING STRICT LIABILITY) EXCEED THE AMOUNT PAID BY YOU, IF ANY, FOR ACCESSING THIS SITE.
8. Indemnification: You agree that for any information that you place with TaylorCNET, including but not limited to advertising, that TaylorCNET is not responsible to indemnify you, defend you or hold you harmless for any liability arising out of the advertising or advertising content supplied by you. You specifically agree to indemnify, defend and hold harmless TaylorCNET against all claims or demands by anyone for any loss, liability, action, claims, demands, injury, damage and/or expense arising out of or resulting from the publication, production, broadcast or any other transmission of your advertisement or content of your advertisement of whatever kind or nature, including but not limited to claims for copyright infringement, trade-mark infringement, libel, slander or any other claim that in any way arises out of the publication, production, broadcast or any other transmission of the advertisement or advertising content. You agree that this indemnity agreement will apply regardless of whether the claim or demand being made is based on the negligence or gross negligence of TaylorCNET and for TaylorCNET Internet Project and regardless of whether the negligence is the sole, joint or concurrent negligence of TaylorCNET.
9. Monitoring: TaylorCNET shall have the right, but not the obligation or duty, to monitor the content of the site [including chat rooms and forums], to determine compliance with these conditions of use and any operating rules established by TaylorCNET and to satisfy any law, regulation or authorized government request. TaylorCNET shall have the right in its sole discretion to edit, refuse to post or remove any material submitted to or posted on the site. Without limiting the foregoing, TaylorCNET shall have the right to remove any material that TaylorCNET, in its sole discretion, finds to be in violation of the provisions hereof or otherwise objectionable.
10. Trademarks: TaylorCNET and their logos with accompanying graphics, are trademarks of TaylorCNET Organization. All rights are reserved. All other trademarks appearing on the site are the property of their respective owners, whether the owner be TaylorCNET or some other entity.
11. Content: You and any user of your Account must evaluate, and bear the risk associated with, the accuracy, completeness or usefulness of any Content. TaylorCNET shall not be responsible for any Content. TaylorCNET does not prescreen or monitor all Content as a matter of policy, but TaylorCNET shall have the right, but not the responsibility, to remove Content which is deemed in TaylorCNET's sole discretion harmful, offensive, or otherwise in violation of this Agreement or any rules TaylorCNET has in place at the time. TaylorCNET may elect at its sole discretion to monitor some, all, or no areas of TaylorCNET.org for adherence to this Agreement or TaylorCNET's rules.
12. Third Party Content: Any opinions, advice, statements, services, offers, or other information or content expressed or made available by third parties, including information providers and users, are those of the respective author(s) or distributor(s) and not of TaylorCNET. In many instances, the content available through the site represents the opinions and judgments of the respective information provider or user. TaylorCNET neither endorses nor is responsible for the accuracy or reliability of any opinion, advice or statement made on the site by anyone other than authorized TaylorCNET employee spokespersons while acting in their official capacities.
13. Termination: You or TaylorCNET may terminate your Account at any time for any reason. If your Account is terminated by TaylorCNET, you cannot access TaylorCNET.org in any manner or for any reason without the express written consent of TaylorCNET, and you cannot assist in enabling a terminated user access to TaylorCNET.org using or via your Account.
14. Changed Terms: TaylorCNET has the right at any time to change or modify any of the terms and conditions applicable to use of the site, or any part thereof, or to impose new conditions, including, without limitation, adding fees and charges for use. Except for the terms found in Paragraph 3B, any such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by any means including, without limitation, posting on the site, or by electronic or conventional mail, or by any other means. Any use of the site by you after such notice shall be deemed to constitute acceptance of such changes, modifications, additions or deletions.
15. Privacy: It is TaylorCNET's policy to take reasonable measures to respect the privacy of TaylorCNET.org participants. Please see our Privacy Policy for details on how we treat your personal information.
16. Minors: TaylorCNET strives to be a family friendly site and welcomes high school students and other minors. However, if you are a minor, you should keep in mind that much of the content of TaylorCNET is uncensored. In cases where you have authorized another individual, including a minor, to use your Account, you recognize that you are fully responsible for: (i) the online conduct of such user; (ii) controlling the user's access to and use of TaylorCNET.org; and (iii) the consequences of any misuse. You further recognize that the holder of the Account is entirely responsible for activities conducted through such Account. YOU ACKNOWLEDGE THAT SOME AREAS OF TAYLORCNET MAY CONTAIN MATERIAL THAT IS INAPPROPRIATE FOR MINORS.
17. Reporting violations: If you witness, anywhere on the TaylorCNET.org web site, activities that violate this Agreement or the TaylorCNET rules then in effect, please e-mail the offending person's identification and cut and paste the relevant content into an email to: Support@TaylorCNET.org. TaylorCNET cannot guarantee that any action will be taken as a result of your e-mail. Please refer to this Agreement from time to time for any updates TaylorCNET may make to this Agreement and to TaylorCNET rules.
18. Miscellaneous: These terms of use constitute the entire agreement of the parties with respect to the subject matter hereof and supersede all previous written or oral agreements between the parties with respect to such subject matter. These terms of use shall be construed in accordance with the laws of the State of Texas, without regard to its conflict with any rules of law. No waiver by either party of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. The section headings used herein are for convenience only and shall not be given any legal import.
